wrenlyHOME CLEANING

Partner onboarding

For cleaning companies and solo cleaners who have talked with us about doing Wrenly Home jobs as a subcontractor. Four steps; do them in any order, but no job (the trial included) is offered until all of the agreement, W-9 and insurance certificate are in. Wrenly Home is a brand of King Holdings Ventures LLC, 217 Cloverfield Drive, Chillicothe, IL 61523.

  1. Sign the subcontractor agreement (with Schedule A)
  2. Upload your W-9
  3. Have your insurance agent send a certificate of insurance
  4. Paid trial job

Step 1 — Subcontractor agreement

Read the full agreement below. Pay is a flat amount per job: a fixed 70% of our list price (75% only if we already offered you 75% in writing), never negotiated. See the partner rate card (Schedule B), version 2026-10-23 v4. Questions before you sign? Email hello@wrenlyhome.com or call (309) 271-1233.

Plain-language template, Illinois (owner decision 2026-10-21: no outside counsel for now). One agreement for both kinds of partner: a cleaning company (an LLC, corporation or registered business with staff) and a solo independent cleaner. The only differences are filled in on Schedule A (who the partner is, insurance minimums, payout method) — pick the matching column. Worker status is decided by how we actually work, not by the label in a contract, so everything this agreement promises about the partner's independence must be how we really operate. The Illinois Freelance Worker Protection Act (820 ILCS 193) applies to solo cleaners (a natural person or a one-person business) once their work for us reaches $500 within 120 days; this agreement contains everything that Act requires in a written contract (both parties' names and mailing addresses, the services, their value and rate, the method of pay, the pay date, and when the partner must report completed work), and we keep each signed copy for at least 4 years.

Cleaning Subcontractor Agreement

This agreement is between KING HOLDINGS VENTURES LLC, an Illinois limited liability company doing business as Wrenly Home, 217 Cloverfield Drive, Chillicothe, IL 61523 ("Wrenly", "we"), and the cleaning business named on Schedule A ("Partner", "you"). It starts on the date you sign (the "Effective Date").

1. What this is

1.1 We bring the customers; you do the cleaning. Wrenly markets, books, prices and bills residential cleaning visits in the Peoria, Illinois area. We offer some of those visits to you. For each visit you accept, you perform the cleaning described in our service checklist (SERVICE_CHECKLIST.md) for the service the customer booked, and we pay you the per-job rate for that visit.

1.2 White label. To the customer, the visit is a Wrenly Home visit. You and your staff introduce yourselves as "the cleaning team from Wrenly Home" (you may of course give your own first names). You don't hand Wrenly customers your own business cards, flyers, prices or booking links, and you don't ask them to book with you directly (see §9). You don't need to wear any Wrenly clothing or use any Wrenly equipment.

1.3 Independent business. You are an independent business, not Wrenly's employee, partner, agent or joint venturer. Nothing in this agreement creates employment. You and your staff are not entitled to wages, overtime, benefits, workers' compensation or unemployment insurance from Wrenly.

1.4 You control the work. You alone decide:

  • whether and when you are available, and which offers to accept (§2);
  • who on your team does each job (your employees or your own subcontractors, whom you hire, screen, train, schedule, supervise and pay; everyone you send must be at least 18);
  • how the cleaning is done — methods, order, pace, products, supplies and equipment — as long as the result meets the checklist for the booked service and any reasonable home-specific notes in the job offer (for example "fragrance-free products", "pet in the back bedroom").

We don't train your staff, set their hours, supervise them while they work, or tell you how to clean. We set what the customer bought (the checklist) and the customer's price, and we handle booking, billing and customer support.

1.5 Free to work for others. You may keep serving your own customers and work for anyone else, including other cleaning platforms and our competitors, subject only to §9 (Non-solicitation) and §10 (Confidentiality).

1.6 No authority to bind. Neither party may make promises or sign anything for the other.

2. Job offers

2.1 We offer jobs by email or text (or a job link) giving the date and arrival window, the town (the exact address is sent when you accept), the service, the home size and add-ons, any home notes, and the pay for that job. The amount in the offer you accepted governs.

2.2 You may accept or decline any offer, or not answer, with no penalty. We don't promise any number of jobs, and you don't promise any availability.

2.3 Once you accept, you either do the job or cancel as early as you can (24 hours or more is the aim) so we can rebook the customer. There is no cancellation fee either way. Repeated no-shows (no arrival and no notice) may end the agreement under §12.

3. Pay

3.1 Rate. We pay a flat amount per completed job: the rate in Schedule B (a fixed 70% of our customer list price, or 75% for a Partner who was offered 75% in writing before signing, shown as a dollar amount for each service and home size) unless the job offer states a different amount, in which case the offer governs. We may change Schedule B with 14 days' written notice; a change never affects an offer you already accepted.

3.2 Customer discounts are ours. Intro offers, referral credits and other discounts we give customers never reduce your pay. Your pay is based on our list price for the service booked.

3.3 We bear the collection risk. We pay you for a completed job even if the customer doesn't pay us.

3.4 Reporting completion. A job is complete when you tell us so (reply to the job message or use the job link) on the day of the job, with after-photos of the kitchen, each bathroom and the main living area. If you report it later, the 48-hour clock in §3.5 starts when you report it.

3.5 When and how we pay. We send payment within 48 hours of the job being reported complete, by the method on Schedule A:

  • Stripe Connect (when we have it enabled): a transfer to your Stripe Express account; bank arrival follows Stripe's payout schedule.
  • Mercury ACH: a bank transfer from our Mercury account to the business bank account you give us on a secure form (never by plain email); arrival is usually 1–2 business days.
  • Your invoice: you invoice us per job or weekly (email is fine; list the job dates, addresses or job numbers, and amounts), and we pay each completed job by ACH within 48 hours of completion. An invoice is your record and our paperwork; we don't hold a completed job's pay waiting for it.

We pay any transfer fees on our side. Each payment comes with a short statement (job, date, amount).

3.6 Tips a customer gives through Wrenly go 100% to you, added to that job's payment.

3.7 Late cancellation or lockout. If the customer cancels less than 24 hours before the window, or your team arrives on time and can't get in after waiting 15 minutes and trying to reach the customer and us (send a timestamped photo at the door), we pay $40 or 30% of the job pay, whichever is more.

3.8 No set-offs without agreement. We make no deductions from your pay except as stated in §6.3 and §7.4, and only after telling you in writing what and why.

3.9 Taxes. You are responsible for all taxes on your income and for your own staff's wages, withholding, payroll taxes and benefits. You give us a completed IRS Form W-9 before your first job; we issue a Form 1099 where the law requires it.

4. Supplies and equipment

You provide all cleaning products, tools, vacuums and transport. If the job offer notes a customer's own product (for example a stone-safe cleaner the customer leaves out), use it for that surface. Our pay already reflects that you supply everything; there is no separate supply payment.

5. Standards

5.1 You do every item on the checklist for the booked service, within the arrival window, and leave the home locked and as instructed.
5.2 You keep the photos from §3.4 for 30 days.
5.3 You tell us the same day about anything unusual: the home is far beyond the booked service, something is broken, a safety concern, or you couldn't finish an item. We contact the customer about extra work before anyone is charged more.

6. 48-hour re-clean guarantee

6.1 We promise customers that if something on the checklist for their booked service isn't right and they tell us within 48 hours of the visit, we re-clean it free.
6.2 Your first right. If the problem is a missed checklist item, you get the first chance to fix it: you re-clean the reported items at no charge within 48 hours of our telling you, at a time the customer accepts.
6.3 If you decline or can't do it within 48 hours, we may send another team, and we may deduct what we pay them for the re-clean (never more than your pay for the original job) from your next payment, after telling you in writing with the customer's report and photos.
6.4 If the problem wasn't your fault (the customer added scope, the booking was wrong, an access problem, or our mistake), we pay you 50% of the original job pay for the re-clean.
6.5 Complaints and re-cleans are handled under QUALITY_SOP.md. Repeated substantiated complaints may end the agreement (§12).

7. Insurance, damage and loss

7.1 Insurance you carry. For the whole time you take jobs from us you keep, at your cost, with an insurer authorized in Illinois:

  • Commercial general liability insurance covering bodily injury and property damage arising from your cleaning work, at least the limits on Schedule A (company: $1,000,000 per occurrence / $2,000,000 aggregate; solo: $1,000,000 per occurrence);
  • Workers' compensation as Illinois law requires if you have any employees;
  • auto insurance as Illinois law requires for any vehicle used to get to jobs;
  • preferred, not required: a janitorial bond or third-party crime / employee-dishonesty coverage (customer property).

7.2 Certificate of insurance (COI). Before your first job — the paid trial included — you send us a current certificate of insurance for the general liability policy showing KING HOLDINGS VENTURES LLC, 217 Cloverfield Drive, Chillicothe, IL 61523 as certificate holder, and as an additional insured where your insurer offers it (an additional-insured endorsement). The certificate should come from your insurer or agent; we may confirm it with them directly. You send a renewed certificate before each expiry, and you tell us within 5 business days if any required policy is cancelled, lapses or is reduced. We offer no jobs while your coverage is not in force.

7.3 Damage and loss. You are responsible for damage to, or loss of, a customer's property caused by you or your staff, and for injuries your work causes. Report any damage or breakage to us the same day, with photos — honesty is never penalized; hiding damage is grounds for ending this agreement at once. Claims are handled first through your insurance: you report the claim to your insurer promptly and cooperate with the customer and us.

7.4 Below your deductible, or not covered. For a loss below your deductible or one your insurer denies, you repair, replace or reimburse the customer's reasonable, documented cost; if you don't within 14 days of a written request, we may pay the customer and recover that amount from your future payments, after showing you the documentation.

7.5 Indemnity. You will defend and pay for claims by customers or others to the extent caused by the negligence, wrongful acts or breach of this agreement by you or your staff. We will do the same for claims to the extent caused by our negligence, wrongful acts or breach (for example a wrong address we sent you). Neither party is liable to the other for lost profits or indirect damages.

8. Homes, keys and safety

8.1 Customer keys, lockbox and door codes are used only for that customer's visit, never copied, never labeled with the address, and returned or deleted as the job offer says. Report a lost key or exposed code to us immediately.
8.2 Only your team members assigned to the job enter the home; no friends, family or children. No smoking, alcohol, drugs or weapons in customers' homes. Don't use the customer's things (TV, food, bathroom other than for cleaning, computer).
8.3 You or your staff may stop and leave a job if you feel unsafe; tell us right away. You are paid for the job if you leave for a genuine safety reason.
8.4 You follow all laws that apply to your business and your staff (including wage, tax, immigration and safety laws).

9. Non-solicitation of our customers (not a non-compete)

9.1 For as long as this agreement lasts and for 12 months after it ends, you will not, directly or through anyone else, solicit or accept cleaning work from any customer you were introduced to through Wrenly, other than through Wrenly.
9.2 This does not stop you from serving anyone who was already your customer before we introduced them (tell us in writing within 7 days of the job offer if that happens), from public advertising that isn't aimed at our customers, or from working anywhere, for anyone else.
9.3 If a Wrenly customer asks to hire you directly, refer them to us. We'll talk with you in good faith about a fair arrangement (for example a referral fee to us).
9.4 We will not solicit your own employees to work for us during this agreement and for 12 months after.

10. Confidentiality

You keep confidential, during and after this agreement: customer names, addresses, contact details, access instructions, anything you see or hear in their homes, and our prices and business information that isn't public. Use it only to do our jobs, share it only with staff who need it for a job, and delete it when we ask or when this agreement ends (except what the law requires you to keep). We keep your business, banking and tax information confidential and use it only to pay you and meet tax rules.

11. Reviews and publicity

Neither party posts reviews of, or about, the other's business on behalf of customers, or asks customers for reviews of their own business on a Wrenly job. Don't post photos of customers' homes anywhere. We may describe you to customers as "a vetted local cleaning team with its own liability insurance" only while that is true.

12. Term and ending

12.1 This agreement continues until either party ends it. Either party may end it at any time for any reason with 7 days' written notice (email is fine). Accepted jobs inside the notice period are done and paid as normal unless both agree otherwise.
12.2 Either party may end it immediately by written notice if the other materially breaks it, including: theft or dishonesty, violence or threats, unsafe conduct, a breach of §8 or §10, sending an unvetted or underage person into a home, false completion reports or photos, required insurance not in force, or (for us) a failure to pay that isn't fixed within 3 business days of notice.
12.3 When it ends, we pay for every completed job within the normal 48 hours; you return or delete customer keys, codes and information; §§3 (for jobs already done), 6–7, 9, 10, 13 and 14 continue.

13. Disputes and law

13.1 This agreement is governed by the laws of the State of Illinois. Any lawsuit goes to the state courts in Peoria County, Illinois, or the federal court for the Central District of Illinois; small claims court is always available for claims within its limit.
13.2 Before going to court, either side first sends a written description of the problem and we talk in good faith for at least 14 days.

14. General

14.1 This agreement (with Schedules A and B and the job offers) is the whole agreement on this subject. Changes must be in writing (email accepted by both is fine), except Schedule B changes under §3.1.
14.2 If any part is unenforceable, the rest still applies, and that part is read as narrowly as needed to be enforceable.
14.3 You may not assign this agreement without our written consent. Your own staff and subcontractors are your responsibility, and this agreement binds them through you.
14.4 Notices: by email to the addresses on the signature block, or by mail to the addresses above and on Schedule A.

15. Electronic signature and records

15.1 By typing your name below and checking the box, you agree to do business electronically, and your typed name is your legal signature with the same effect as a handwritten one under the federal E-SIGN Act (15 U.S.C. §7001 et seq.) and the Illinois Electronic Commerce Security Act (5 ILCS 175). You can ask for a paper copy at no charge.
15.2 When you sign, we record your typed name, the date and time (UTC), your IP address, your email, and a SHA-256 fingerprint of the exact text signed, and email you a signed copy. We keep it for at least 4 years.

After the trial we tell you within 2 business days whether we'll offer regular jobs; you are paid for the trial either way.

When you sign we record your typed name, the date and time (UTC), your IP address, your email and the SHA-256 fingerprint of the agreement text above (§15.2).

Step 2 — W-9

Download the official IRS form: Form W-9 (irs.gov). Fill it in with the same legal name as above, sign it, and upload it here (PDF, JPG or PNG, up to 3 MB). It goes to private, access-restricted storage. Please never email your SSN or EIN, and don't type it into any other form or message.

Step 3 — Certificate of insurance (COI)

Forward this to your insurance agent (it's the quickest way, and we prefer certificates that come from the agent or insurer):

Please email a current certificate of insurance for our commercial general liability policy (and workers' compensation, if we have one) to hello@wrenlyhome.com, showing: Certificate holder: KING HOLDINGS VENTURES LLC, 217 Cloverfield Drive, Chillicothe, IL 61523 Additional insured: the same, if the policy allows an additional-insured endorsement. Operations: residential cleaning. General liability limit: at least $1,000,000 per occurrence (companies: $2,000,000 aggregate).

Agreement §7: general liability of at least $1,000,000 per occurrence (companies also $2,000,000 aggregate), workers' compensation if you have any employees, and auto insurance as Illinois requires. We may confirm the policy with your insurer directly. If you already have a certificate showing us as holder, you can also upload it here:

Step 4 — Paid trial job

  • Before regular offers, you do one paid trial job: a real customer visit at the full rate on the rate card, paid within 48 hours of finishing, like any job.
  • You may decline the trial offer with no penalty.
  • The whole agreement applies to the trial, including §7: your certificate of insurance must be on file first (and your W-9 and signed agreement).
  • When you finish, reply "done" with after-photos of the kitchen, each bathroom and the main living area.
  • Within 2 business days after the trial we tell you whether we'll offer regular jobs. You're paid for the trial either way.

What happens next

Once your agreement, W-9 and certificate are in, we check the certificate with your insurer and email or text you a trial offer with the date, town, service, home size and your pay for that job. You accept or pass. After a good trial you get regular job offers, which you're always free to accept or decline.
